Practice Focus

Nathan N. McConarty concentrates his practice on the representation of businesses in all stages of their corporate growth, including debt and equity financings, mergers and acquisitions, corporate restructurings and other general commercial transactions.  As a member of the firm’s Business Law Group, Nathan counsels boards and management teams in addressing regulatory requirements and corporate governance matters.  He also works closely with Hemenway & Barnes’ Nonprofit Group in advising tax-exempt entities with regard to formation, restructuring, regulatory and compliance issues. 

Representative Clients

  • Served as lead counsel to a start-up limited liability company in their Series A financing, including drafting and negotiation of the term sheet and key operating agreement provisions.
  • Provided end-to-end support in the sale of a closely-held business to a strategic buyer for approximately $45 million in total consideration.
  • Represented multiple venture capital and private equity advisers in all aspects of their fund formation, investments and offerings.
  • Structured and negotiated the sale of a majority interest in a retail business, which ultimately led to the buyout of the minority holder’s entire interest the next year.
  • Served as counsel to minority share or interest holders in various buyout scenarios, including in the transportation, retail and housing industries.
  • Served as buy and sell-side counsel to medical device and biotechnology companies in various acquisition scenarios.
  • Negotiated multiple executive employment arrangements, including vesting of equity, restrictive covenants and severance.
  • Represented start-up companies in the digital marketing and cleantech fields and their executives in acqui-hire scenarios, including negotiation of the underlying acquisition transaction and ongoing employment arrangements.
  • Advised a nonprofit human services client on a merger with a local recovery home.
  • Supported a nationally regarded nonprofit on its affiliation with another, smaller nonprofit.
  • Represented a well-known private foundation in the spinout of a successful program into its own, separate operating charity.
